1. Who agrees, and what ATA does
This agreement is between AI Makers LLC, a New Mexico limited liability company, United States, trading as ATAbooking (“ATA”), and the hotel business identified at sign-up (“you”). The person accepting confirms they can bind that business. We record the accepted version, date and hotel identity and provide a copy.
You authorise ATA to display your supplied hotel information and enable bookings through AI assistants using the rates, availability and rules you provide. A booking becomes confirmed when your authorised system accepts it and returns a confirmation reference. The accommodation contract is between you and the guest. ATA supplies the booking service and does not collect or hold guest accommodation payments.
2. Your hotel, your guest
You set and keep your prices, inventory, payment and cancellation policies current, show all mandatory charges before booking, and honour confirmed reservations. You collect guest payments, issue receipts and tax invoices, handle refunds and chargebacks, and provide the stay and guest support. Guests pay you under your disclosed payment policy, which may include a deposit or advance payment. ATA does not guarantee guest payment.
You retain your guest relationship and may communicate directly with guests. There is no exclusivity or requirement to match prices on other channels. You give ATA permission to use your supplied name, images and descriptions to offer your hotel through the service; you confirm you have the rights to supply them.
3. The 5% fee
You owe 5% of booking value only for stays booked through ATA that actually take place and have ended. A scheduled checkout date alone does not prove completion. For a shortened stay, only nights actually used and their associated booked package are eligible; unused nights and cancellation penalties are excluded. A stay crossing month-end is billed after actual checkout.
Booking value: the final accommodation price and mandatory hotel charges or package items included in the ATA booking for the stay delivered, after discounts and refunds. Separately stated government taxes, refundable deposits, damage charges and extras bought separately at the hotel are excluded. An extension agreed as a modification to that ATA booking is included; an unrelated later direct booking is not.
There is no ATA commission on cancellations or no-shows, even if you keep a deposit or charge the guest a penalty. There is no commission for a booking that never results in a stay at your hotel. A late status update does not turn a cancelled booking into a completed stay.
A booking value of 1,000 means an ATA fee of 50, in the same currency. Required tax on ATA’s fee, if applicable, is shown separately. Guest non-payment after a completed stay does not by itself remove the fee; an agreed price reduction or refund reduces booking value and the corresponding commission. Later refunds produce a credit or repayment, including after you leave.
4. Monthly statement, checking and disputes
On the 1st of each month, ATA sends an itemised statement and any required invoice for stays completed in the previous calendar month, using the hotel’s local time. Each line shows the ATA and hotel booking references, actual stay dates, booking value, adjustments, currency and 5% fee.
ATA checks its booking record against completion and value information from your reservation system, or your documented confirmation if no connection is available. You must supply accurate status changes and reasonable supporting records promptly. Unmatched or conflicting items are held for review, not automatically treated as completed. Neither system’s record is conclusive on its own.
Dispute window: you have five calendar days after the statement is sent to flag errors through your account or hello@atabooking.com. ATA holds disputed amounts while both sides check the relevant records; undisputed amounts remain payable. ATA explains its findings before collecting a resolved amount and provides fresh payment notice. Report later-discovered errors promptly: the initial window does not remove the right to correct a proven error.
5. Automatic collection and unpaid accounts
You authorise recurring collection of amounts due from your nominated hotel card or direct-debit account, under the separate payment authorisation or mandate completed at sign-up. Keep that method current. ATA does not charge a guest’s payment method for your commission.
Collection date: the 7th of the month, or the next banking day, after the five-day review window. If the statement is late or the applicable payment scheme requires longer notice, collection moves later. Every collection notice states the amount, currency and date; a changed amount receives the required fresh notice. Direct-debit refund and cancellation rights remain unaffected.
If payment fails, ATA notifies you and gives you seven calendar days to settle or correct the problem. If an undisputed balance remains overdue, ATA may pause new bookings and remove the hotel from AI search until it is settled. The account is not deleted: existing bookings, statements and dispute access remain available. A genuine unresolved dispute alone does not trigger this pause.
6. Pause or leave
You may pause new bookings or end this agreement at any time through your account or by contacting ATA support, without an exit fee. ATA stops offering new bookings when it receives your request. Existing guest reservations remain valid; pausing or leaving does not cancel them. The same completed-stay rule applies to those reservations, with final statements, corrections and refunds continuing as needed. No commission is due on future bookings made independently of ATA.
7. Data and privacy
Each party uses personal information only for lawful, disclosed purposes, including arranging and servicing bookings, billing, dispute handling and fraud prevention. Share only what is needed with authorised staff and service providers, protect it with appropriate security, and cooperate promptly on privacy requests and security incidents. Receiving guest data does not itself grant marketing consent.
Our Privacy policy explains how ATA handles personal information. ATA keeps booking data for two years after the stay, then deletes it, subject to the specific legal-retention exceptions described there. Guest personal information in unconfirmed holds is wiped seven days after creation. Each party must meet its own applicable retention duties. Any required additional data-processing terms apply alongside this agreement. Stripe handles payment details for hotel commission payments.
8. Responsibility and limits
Each party is responsible for its own failures under this agreement. ATA will use reasonable care to operate the service but does not promise a booking volume or uninterrupted availability. The hotel remains responsible for its accommodation and guest obligations.
To the extent permitted by law, neither party is liable to the other for indirect loss or lost profits. This exclusion does not cover fraud, deliberate misconduct, payment of properly due fees, repayment of overcharges, or liability that the law does not allow to be excluded. It does not limit guests’ rights against either party.
9. Changes and governing law
Changes to the fee or other material terms require notice and your express acceptance before applying to new bookings. Existing bookings retain the terms accepted when booked. You may leave if you do not accept a change.
This agreement is governed by the laws of New Mexico, USA. Disputes under it are subject to the courts in New Mexico, subject to any mandatory rights that applicable law preserves.
